Subject: Additional Information on Connected Transaction
Attention: Director and Manager The Stock Exchange of Thailand
With reference to the Company's earlier notification of its agreement entered to rent plant space, asset and contracted service from Lucky Surimi Products Co., Ltd. including the purchase and selling of land in Samutsakorn, as stated in the Letter Ref. No. 22/530325, dated March 25, 2010. The Company hereby provides additional information;
1.Mr. Cheng Niruttinanon holds directorship in both companies (The Company and Lucky Surimi Products) and Mr. Rittrong Boonmechote holds directorship in both companies (The Company and Thai Union Feedmill Co., Ltd), In this regard, the aforesaid interested directors neither attended nor voted on this matter at the Meeting.
2.Opinion of the Company's Audit Committee: In the opinion of the Audit Committee, the above connected transaction will benefit to the Company and will help the Company run the business with efficiency. Moreover, the value of this transaction is reasonable. Therefore, this connected transaction is considered reasonable and beneficial to the Company.
3.Sources of Funds: Internal Cash Flow of the Company.
