Subject: Clearance received from the Office of Fair Trading, United Kingdom, on the acquisition of MW Brands Holdings SAS by Thai Union Frozen Products Public Company Limited.

Referring to a previous announcement of a takeover of MW Brands Holdings SAS by Thai Union Frozen Products PCL (TUF), as approved during the company's extraordinary general meeting of shareholders no. 1/2553, on September 2, 2010, the only pending matter at that time was the determination by the United Kingdom's Office of Fair Trading on whether the acquisition would be in compliance of relevant anti-trust regulations.
TUF has recently received confirmation from the Office of Fair Trading that the deal is deemed acceptable and is in no violation of any anti-trust regulation. With this approval, the acquisition deal can now go through, as all the other requirements have already been met. It is expected that the transaction will be completed by the end of October.
